(hereinafter IVM), can prevail over these General Sales Conditions.<\/p>\n<p>These Sales Conditions can be modified, without any notice and will be valid since the above date.<\/p>\n<p>The Purchaser submitting an order of purchase to IVM, in whatever form, declares to accept the General Sales Conditions provided at the first order and any following changes of them.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><a id=\"a2\"><\/a>Constitution and object of the contract<\/strong><\/p>\n<p>The order by the Purchaser is firm and irrevocable contract proposal.<\/p>\n<p>IVM\u00a0reserves\u00a0the\u00a0right\u00a0to\u00a0accept\u00a0or\u00a0refuse,\u00a0in\u00a0its\u00a0discretion,any\u00a0purchase\u00a0order\u00a0submitted\u00a0by\u00a0the\u00a0Purchaser.<\/p>\n<p>In case of order collected by agents or other intermediaries, the contract will be concluded only after IVM acceptance.<\/p>\n<p>Orders can be transmitted by e-mail or fax to Customer Service addresses, provided at first order.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><a id=\"a3\"><\/a>Prices<\/strong><\/p>\n<p>The prices:<\/p>\n<ul>\n<li>refer to the price per kg or liter in the selected package<\/li>\n<li>do not include VAT and any other taxes and duties<\/li>\n<li>may be subject to changes at any time upon notification by IVM<\/li>\n<\/ul>\n<p>Invoice prices are those in effect at time of order acceptance by IVM.<\/p>\n<p>All additional expenses related to the sale unless previously agreed shall be borne by the Purchaser.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><a id=\"a4\"><\/a>Packaging<\/strong><\/p>\n<p>The products are sold by net volume or weight.<\/p>\n<p>Standard products can be ordered in the packages provided for each product.<\/p>\n<p>Customized products can only be ordered in the following packages unless otherwise agreed:<\/p>\n<ul>\n<li>25 KG \\ Lt. for all products<\/li>\n<li>12.5 Kg \\ Lt. for catalysts<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p><strong><a id=\"a5\"><\/a>Quantity<\/strong><\/p>\n<p>The products can be ordered in any quantity listed in the price list.<\/p>\n<p>The Customized products must be ordered respecting the quantities agreed between the Purchaser and IVM at the time of first order.<\/p>\n<p>Compared to the agreed quantities, any differences of +\/- 10% shall have to be accepted, in any case, by the Purchaser.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><a id=\"a6\"><\/a>Pallets<\/strong><\/p>\n<p>Shipments are on pallets when quantities are reached for the completion of a pallet:<\/p>\n<ul>\n<li>33 cans of 25 Kg \/ L<\/li>\n<li>66 cans of 12.5 Kg \/ L<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p>Once reached the following minimum quantities, goods will be delivered on a single pallet:<\/p>\n<ul>\n<li>starting from 22 cans of 25 Kg \/ L<\/li>\n<li>starting from 44 cans of 12.5 Kg \/ L<\/li>\n<\/ul>\n<p>Pallets are charged at 12 \u20ac each.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><a id=\"a7\"><\/a>Terms of delivery<\/strong><\/p>\n<p>Delivery terms set forth herein mean the availability of the products at the warehouse place appointed at first order and run from the date of acceptance of the order by IVM.<\/p>\n<p>&nbsp;<\/p>\n<ul>\n<li>Standard Products in price list are usually available for pickup at the warehouse within 8 working days.<\/li>\n<li>Products on order are usually available within 30 working days from the order\u2019s acceptance date.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p>IVM is not responsible for any delays in delivery in the event of :<\/p>\n<ul>\n<li>Force majeure or exceptional occurrences, shortage of raw materials, restriction of energy sources;<\/li>\n<li>Delays attributable to the Purchaser, in particular for non &#8211; or late communication of data required for order fulfilment;<\/li>\n<li>Need or request of the Purchaser for consolidation of multiple products in one shipment;<\/li>\n<li>Non-compliance with payment conditions, including expired debts related to previous supply<\/li>\n<li>Modification of Purchaser\u2019s economic conditions, including the case of one or more protests, enforcement or concourse procedures, pledged and \/ or mortgaging, requests for controlled administration, preventive agreement, end of business.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p>Except in the case of wilful misconduct or serious negligence of IVM, is expressly excluded any damages refund for failure or delay in delivery of products.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><a id=\"a8\"><\/a>Terms of payment<\/strong><\/p>\n<p>The Purchaser is not entitled to make any deduction from the agreed price (eg . in case of supposed product defects), unless by prior written agreement with IVM<\/p>\n<p>It is understood that any complaints , disputes or delivery delays do not give the Purchaser the right to suspend or delay payment of the products in dispute, nor linked to other supplies.<\/p>\n<p>In case of delay with respect to the payment terms agreed , IVM reserves the right to charge interest on late payments under existing law, IVM also reserves the right to suspend or cancel orders in progress, without causing objection or appealing by the Purchaser for any direct or indirect damage.<\/p>\n<p>In the event that the Purchaser fails to comply with the payment of an agreed payment date, any other outstanding amount becomes immediately due and payable irrespective of the payment terms agreed.<\/p>\n<p><strong><a id=\"a14\"><\/a>Retention of title<\/strong><\/p>\n<p>In the event that the payment is to be made, in whole or in part, after delivery, the delivered products remain of IVM ownership until full payment of the agreed price, but the risk shall pass to customer upon delivery as reported in paragraph <strong>Terms of delivery<\/strong>.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><a id=\"a9\"><\/a>Responsibility of the manufacturer<\/strong><\/p>\n<p>The responsibility of IVM, as a supplier of paints, relates exclusively to the consistency of the chemical and physical characteristics of the products supplied as part of the data and the tolerances set out in its <strong>Technical Data Sheets<\/strong>.<\/p>\n<p>In no event IVM will be liable for incidental or consequential damages, loss of production or profits.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><a id=\"a10\"><\/a>Responsibility of the Purchaser<\/strong><\/p>\n<p>The Purchaser is responsible for the assessment of whether or not the product is suitable for its needs, making sure before using it that this matches his quality and production needs.<\/p>\n<p>In this regard, please refer to the warnings reported in the related <strong>Technical Data Sheets<\/strong>.<\/p>\n<p>The Purchaser, upon receipt of the products, is required to verify the quality \/ quantity as specified in the order.<\/p>\n<p>The Purchaser is required to verify the suitability of the product on a sample before using it in production processes. Once placed in these processes, he is required to have a constant and careful check of the results in order to limit any damage.<\/p>\n<p><strong>\u00a0<\/strong><\/p>\n<p><strong><a id=\"a11\"><\/a>Claims and complaints<\/strong><\/p>\n<p>If the product or its packaging is damaged or in the presence of missing products, the Purchaser is required to provide the necessary caveats against the carrier, according to the forms required for the mode of transport used, indicating into the Bill of Lading and confirming his claim by registered letter to IVM with acknowledgment of receipt within <strong>three days<\/strong>.<\/p>\n<p>In case of hidden defects, the Purchaser must notify the complaint in the manner above specified at the latest within three days from the date of discovery and no later than six months from the date of receipt of the product; even if this product has not reached yet its expiry date.<\/p>\n<p>The evidence of the timeliness of the defective complaint is a Purchaser\u2019s responsibility.<\/p>\n<p><strong>\u00a0<\/strong><\/p>\n<p><strong><a id=\"a12\"><\/a>Maximum refund limit<\/strong><\/p>\n<p>Except what reported in the &#8220;Responsibility of the manufacturer&#8221; and &#8220;Claims and Complaints&#8221; paragraphs, IVM shall be liable for any damage caused to the Purchaser due to defects in the goods supplied within the maximum limit of less than twice the value of the goods supplied and the amount of 50,000.00 (fifty thousand \/ 00) euros.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><a id=\"a13\"><\/a>Returned products<\/strong><\/p>\n<p>Returns of products will not be accepted unless expressly authorized by the Commercial Direction of IVM.<\/p>\n<p><strong>\u00a0<\/strong><\/p>\n<p><strong><a id=\"a15\"><\/a>Confidentiality<\/strong><\/p>\n<p>Technical Data Sheets, products presentations as well as any trading and production technology and \/ or information should be treated essentially as confidential and will not be disclosed to third parties without prior IVM\u2019s written permission.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><a id=\"a16\"><\/a>Privacy<\/strong><\/p>\n<p>IVM will manage the data supplied by the Purchaser in compliance with the laws on the protection of personal data processing (Legislative Decree 196\/2003)<\/p>\n<p>These data are collected in a telematic way, and processed, with the support of electronic tools, directly and \/ or through delegated third parties for the following purposes:<\/p>\n<p>&#8211; the purpose connected with the service fulfilment and the management of the products\u2019 purchase order;<\/p>\n<p>&#8211; statistic purposes, sending of advertising material, including the use of e-mail as well.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><a id=\"a17\"><\/a>Disputes<\/strong><\/p>\n<p>The court has exclusive jurisdiction over disputes arising from the interpretation and application of these General Sales Conditions is the Court of Milan.
